1 — Hizmet tanımı1 — Service description

Agenta (Ömer Ögeday İnan (Agenta)); işletmelerin WhatsApp Business, Instagram ve Facebook Messenger üzerinden müşterilerine yapay zeka destekli yanıt vermesini sağlayan bir SaaS platformu sunmaktadır. Bu şartlar, hizmeti kullanan tüm tarafları bağlar. Agenta (Ömer Ögeday İnan (Agenta)) provides a SaaS platform enabling businesses to respond to customer messages on WhatsApp Business, Instagram, and Facebook Messenger using AI-powered chatbots. These terms govern all use of the service.

2 — Hesap ve yetki2 — Account & authorization

Hizmeti kullanabilmek için bir kurumsal hesap oluşturmanız ve Meta Business hesabınızı yetkilendirmeniz gerekir. Hesap bilgilerinizin gizliliğinden ve güvenliğinden siz sorumlusunuz. You must create a corporate account and authorize your Meta Business account to use the service. You are responsible for keeping your credentials confidential and secure.

3 — Kabul edilebilir kullanım3 — Acceptable use

Platformu şu amaçlarla kullanamazsınız: You may not use the platform to:

• Spam, istenmeyen toplu mesaj veya kullanıcıyı yanıltıcı içerik göndermekSend spam, unsolicited bulk messages, or misleading content
• Meta'nın WhatsApp Business Policy, Commerce Policy veya Community Standards kurallarını ihlal etmekViolate Meta's WhatsApp Business Policy, Commerce Policy, or Community Standards
• Yasa dışı ürün/hizmet pazarlamak (ilaç, tütün, silah, kumar gibi)Promote illegal products/services (e.g., pharmaceuticals, tobacco, weapons, gambling)
• Üçüncü kişilerin telif veya gizlilik haklarını ihlal etmekInfringe third-party intellectual property or privacy rights
• Sistemin tersine mühendisliğini yapmak veya servisi kötüye kullanmakReverse-engineer or otherwise abuse the system

4 — Ücretlendirme4 — Pricing

Hizmet sabit aylık (veya yıllık peşin) abonelik ücretiyle sunulur; mesaj başına ek ücret alınmaz. Planın mesaj kotası dolarsa ek ücret kesilmez: kota yenilenene ya da planınızı yükseltene kadar bot yeni mesajlara cevap vermez. Meta'nın uyguladığı conversation/template ücretleri aboneliğe dahil değildir ve doğrudan size yansıtılır. The service is offered for a fixed monthly (or prepaid annual) subscription fee; no per-message fees are charged. If your plan's message quota runs out, no extra charge applies: the bot stops answering new messages until the quota renews or you upgrade. Meta's conversation/template fees are not included in the subscription and are passed through to you directly.

5 — Veri sahipliği5 — Data ownership

Platforma yüklediğiniz dökümanlar, ürün katalogları ve konuşma kayıtları size aittir. Agenta, hizmet sunumu dışında bu verileri başka bir amaçla kullanmaz, satmaz veya paylaşmaz. Detay için Gizlilik Politikası. Documents, product catalogs, and conversation records you upload remain yours. Agenta does not use, sell, or share this data for purposes other than service delivery. See Privacy Policy.

6 — Hizmet süresi ve fesih6 — Term & termination

Abonelik, panelden veya yazılı bildirimle ([email protected]) istenildiği zaman iptal edilebilir; hizmet ödenmiş dönemin sonuna kadar sürer. Ödeme başarısızlığı veya deneme sonunda ödeme yapılmaması halinde hesap askıya alınır; 30 gün içinde ödeme yapılmazsa hesap pasif duruma alınır. Sözleşmenin ağır ihlali halinde SATICI hizmeti derhal sonlandırabilir; diğer hâllerde SATICI 30 gün önceden yazılı bildirimde bulunur. Sonlanmadan itibaren verileriniz 90 gün saklanır, sonra silinir (yasal saklama yükümlülüğü altındaki kayıtlar hariç). You may cancel at any time from the panel or by written notice ([email protected]); service continues until the end of the paid period. If a payment fails or no payment is made at the end of the trial, the account is suspended; if unpaid within 30 days it is deactivated. We may terminate immediately for material breach; otherwise we give 30 days' written notice. From termination your data is kept for 90 days and then deleted (except records held under legal retention obligations).

7 — Sorumluluğun sınırlandırılması7 — Limitation of liability

Hizmet "olduğu gibi" sunulur. Agenta, üçüncü taraf servislerden (Meta, OpenAI, vb.) kaynaklanan kesintilerden veya yapay zekanın ürettiği yanıtların doğruluğundan doğrudan sorumlu değildir. Toplam sorumluluk her halükârda son 12 aylık ödediğiniz ücretle sınırlıdır. The service is provided "as is." Agenta is not directly liable for outages of third-party services (Meta, OpenAI, etc.) or for the accuracy of AI-generated responses. Total liability is in any case capped at fees paid in the prior 12 months.

8 — Değişiklikler8 — Changes

Şartları güncellemek hakkımızı saklı tutarız; önemli değişiklikleri 30 gün önceden e-posta ile bildiririz. We reserve the right to update these terms. Material changes will be communicated by email 30 days in advance.

9 — Uygulanacak hukuk9 — Governing law

Bu şartlar Türkiye Cumhuriyeti hukukuna tabidir. Uyuşmazlıklarda İzmir (Urla) mahkemeleri ve icra daireleri yetkilidir. These terms are governed by the laws of the Republic of Türkiye. Disputes are subject to the jurisdiction of İzmir (Urla) courts.
